我今天也碰到一个差不多的问题：
His lawyer was with himtaking notes.
它们是一样的吧！
His lawyer was with him taking notes.
你的句子根本不是with复合结构作表语，真的作表语的是介词短语 with him，目前分词短语 taking notes 是作状语的，也就是说，句中的目前分词短语 takingnotes 的逻辑主语不是 him，而是 his lawyer，句意为：他的律师和他在一块在做笔录。
